Professional Indemnity Endorsements in full

1050.1North American territory and jurisdiction, aggregate limit, costs inclusive, excess applies to defence costs
– Professional indemnity

The following applies to the Professional indemnity section  of your policy. This will apply irrespective of anything contained in your policy to the contrary 

North American jurisdiction cover – Aggregate limit

In relation to any claim arising directly or indirectly from any action brought in the United States of America, its territories and/or possessions or Canada or any action brought elsewhere to enforce a judgment or finding of a court or other tribunal in the United States of America, its territories or possessions or Canada, in which it is contended that the governing law is that of the United States of America or Canada
1 the most We will pay in total for all claims, defence costs, loss, claimant’s costs, fees, expenses or any other costs arising in any one period of insurance is the limit of indemnity
2 the excess does apply to defence costs

6073.0Any one claim and counterfeit goods endorsement

How much We will pay is amended to read as follows:

We will pay up to the limit of indemnity shown in the schedule for each claimWe will also pay for defence costs.  However, if a payment greater than the limit of indemnity has to be made for a claim, our liability for defence costs will be limited to the same proportion that the limit of indemnity bears to the amount paid.  You must pay the relevant excess for each claim.

All claims and mitigation costs which arise from the same original cause, a single source or a repeated or continuing shortcoming in your work or that of your sub-contractor will be regarded as one claim. This includes claims and mitigation costs arising after, as Well as during, the period of insurance.

Paying out the limit of indemnity

At any stage of a claim We can pay you the applicable limit of indemnity or what remains after any earlier payment from that limit. We will pay defence costs already incurred at the date of our payment. We will then have no further liability for that claim or its defence costs.

Special limit for counterfeit goods

Where expressly covered under any section of this policy, the most We will pay for the total of all claims and defence costs arising from counterfeit goods including software is the amount shown in the schedule.  You must pay the relevant excess shown in the schedule.

3038.2Abuse or molestation exclusion – Professional 
Indemnity

The following applies to the Professional indemnity section  of your policy. This will apply irrespective of anything contained in your policy to the contrary.


Abuse or molestation exclusion
We will not cover any claim or claim circumstance 

1 for or arising directly or indirectly from any actual or threatened abuse or molestation, including but not limited to physical abuse, corporal punishment, sexual abuse, sexual molestation, or sexual misconduct, committed by you or anyone acting on your behalf; or 
2 for which you or anyone acting on your behalf may be held liable in causing or in failing to prevent such actual or threatened abuse or molestation.

6277.0Chartered accountants exclusion

The following is added to What is not covered:

Any activity where by law only a qualified Chartered Accountant can undertake such activity.
6278.0Pharmacy exclusion – Professional indemnity 

The following applies to the Professional indemnity section  of your policy. This will apply irrespective of anything contained in your policy to the contrary:

We will not cover any claim arising directly or indirectly from any activity where by law only a qualified Pharmacist can undertake such activity

3168.0Medical malpractice exclusion – Professional 
Indemnity

The following applies to the Professional indemnity section  of your policy. This will apply irrespective of anything contained in your policy to the contrary:

We will not cover any claim for or arising directly or indirectly from 
1 medical or dental practice
2 nursing care
3 health care or advice, diagnosis or treatment
4 food, drink, medicine or medical preparation administered, supplied or given

129Aggregate Limits


Under the Directors and officers section of the policy the Limit of cover is changed to:
The most We will pay for all claims during any one period of insurance including defence costs and/or investigation costs is the limit of liability.
Each claim will be treated as made when We receive written notice of the claim. Investigation costs will be treated as made when attendance of an insured person is notified as being required
161Overseas subsidiaries exclusion
Under the Directors and officers section of the policy the Limit of cover is changed to:
The most We will pay for all claims during any one period of insurance including defence costs and/or investigation costs is the limit of liability.
Each claim will be treated as made when We receive written notice of the claim. Investigation costs will be treated as made when attendance of an insured person is notified as being required
235Deletion of Employment practice cover, Management buy-out cover and Outside company cover 

The following three covers are deleted from the What is covered section of the Director and officers’ liability section of the Policy 

Employment practice claims cover

We will pay for the loss caused by an employment practice claim during the period of insurance brought by a current, former or potential employed person.
We will not cover you for any Employment practice claim more specifically insured by you or on your behalf

Management Buy-out cover

If during the period of insurance members of your existing management team conduct a management buy-out, we agree to provide cover to the same level and terms as this policy for the new company for a period of 30 days from the buy-out date for any wrongful act carried out by any insured person within this 30 day period





Outside company cover

We will pay for the loss incurred by any insured person for any wrongful act within the policy territories carried out in their role as a trustee, director or officer of an outside company. Provided that the insured person acts in that role at your written request and the claim does not arise from a wrongful act carried out after the insured person stopped acting in this role. We will only pay after any cover provided by the outside company to its trustees, directors or officers and any other insurance available to its trustees, directors and officers has been used
